Terms of Use

These Terms of Use ("Terms") govern access to and use of the Jsonify platform, products, agents, APIs, and related services (collectively, the "Services"), operated by Trailing Comma Inc., a Delaware corporation doing business as Jsonify ("Jsonify", "we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. Description of the Services
Jsonify provides automated tools that enable users to access, extract, structure, and process data from websites and digital documents according to user-defined instructions (the "Agents"). The Services act solely under the configuration and control of the user.
Jsonify does not select target websites, define scraping parameters, determine data categories, or decide how extracted data is used.
2. User Responsibility and Lawful Use
You are solely responsible for:
Selecting or confirming the websites, URLs, documents, or sources accessed by the Agents;
Determining whether you are legally authorized to access, extract, and use data from such sources;
Ensuring that your use of the Services complies with all applicable laws and regulations, including but not limited to data protection, intellectual property, competition, and contractual obligations;
Ensuring compliance with the terms of use, access conditions, and contractual restrictions of third-party websites and services.
Jsonify does not provide legal advice and does not assess the legality of your specific use cases.
3. Robots.txt and Technical Restrictions
The Services are designed to respect technical access restrictions implemented by website operators, including robots.txt directives.
Jsonify Agents will not access publicly available areas of websites where automated access is explicitly disallowed by robots.txt or equivalent technical mechanisms.
Jsonify does not provide tools or functionality to bypass technical protection measures, including but not limited to login walls, paywalls, captchas, rate limits, or security systems.
4. Authenticated Access
Where you instruct the Services to access content that requires authentication, you represent and warrant that:
You are the legitimate holder of the account credentials provided;
You are authorized to use automated tools in connection with such account;
Any access occurs solely within the scope of permissions granted to you by the relevant service provider.
Jsonify acts strictly as a technical processor of your instructions and does not assume responsibility for your compliance with third-party account terms.
5. Website Terms of Use
Some websites publish terms of use or contractual restrictions relating to automated access or data extraction.
You acknowledge that:
Merely accessing a website does not necessarily constitute acceptance of its terms of use;
Certain websites may require explicit acceptance of terms (e.g., via checkboxes, banners, or account registration), in which case such terms may be contractually binding;
You are solely responsible for assessing whether and how such terms apply to your use of the Services.
Jsonify may provide informational tools to identify or highlight potential restrictions but does not guarantee completeness or accuracy of such assessments.
6. Personal Data and Data Protection
To the extent the Services process personal data (as defined under applicable data protection laws), you act as the data controller and Jsonify acts as a data processor, processing personal data solely on your documented instructions.
You are responsible for:
Identifying a valid legal basis for any processing of personal data;
Ensuring transparency, proportionality, and compliance with data subject rights;
Avoiding the collection of special categories of personal data unless strictly lawful.
Jsonify does not reuse, aggregate, enrich, sell, or otherwise exploit data processed on your behalf for its own purposes.
The Services may include tools designed to help exclude or filter personal data, which you may configure at your discretion.
7. Prohibited Uses
You may not use the Services to:
Bypass or circumvent technical safeguards, security measures, or access controls;
Access or extract data from websites where you are not authorized to do so;
Collect personal data in violation of applicable data protection laws;
Engage in unlawful, deceptive, or unfair competitive practices;
Infringe intellectual property rights, database rights, or other proprietary rights;
Perform denial-of-service attacks or activities that materially disrupt third-party services.
8. No Data Reuse by Jsonify
Jsonify does not reuse, retain beyond operational necessity, or commercially exploit data extracted through the Services. Data is processed solely to provide the Services to you, in accordance with your instructions.
9. Suspension and Termination
Jsonify may suspend or terminate access to the Services if:
Required by law or a competent authority;
Necessary to prevent material legal, security, or operational risk;
You materially breach these Terms.
Where reasonably practicable, Jsonify will provide notice before suspension.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available".
Jsonify disclaims all warranties, express or implied, including any warranties of legality, fitness for a particular purpose, or non-infringement. Jsonify does not warrant that use of the Services will be lawful in all jurisdictions or for all use cases.
11. Limitation of Liability
To the maximum extent permitted by law, Jsonify shall not be liable for:
Any indirect, incidental, consequential, or punitive damages;
Any claims arising from your access to or use of third-party websites or data;
Any claims relating to your compliance with laws or third-party terms.
Jsonify’s total liability shall not exceed the amounts paid by you to Jsonify in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Jsonify from any claims, damages, losses, or expenses arising out of or relating to:
Your use of the Services;
Your access to or extraction of data from third-party sources;
Your violation of applicable laws or third-party rights.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, excluding its conflict of law principles.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, USA.
14. Changes to These Terms
Jsonify may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Services constitutes acceptance of the updated Terms.
